Cancellation Policy

1. Scope

This cancellation policy governs the termination of any engagement entered into with Baclinc Ventures Pvt. Ltd. ("Baclinc," "we," "our"), including monthly retainers, fixed-scope projects, and one-time deliverables. It should be read together with the statement of work (SOW), proposal, or master services agreement signed for the specific engagement, which will prevail in the event of any conflict.

2. Cancellation by the Client

2.1 Retainer Engagements

Either party may terminate a monthly retainer by giving at least 30 days' written notice. The retainer fee for the notice period remains payable in full. Work in progress during the notice period will be completed and handed over in a usable state on the effective date of cancellation.

2.2 Project Engagements

For fixed-scope projects, you may cancel at any time by written notice to abhishek@baclinc.com. The following will apply on the cancellation date:

  • All milestones already delivered or in progress remain payable in full.
  • Pro-rata fees for partially completed milestones will be invoiced based on the percentage of effort committed.
  • Third-party costs already incurred or committed on your behalf (media spend, licences, freelancers, stock) remain payable.
  • Any advance held against future milestones, net of the above, will be refunded as per the Refund Policy.

2.3 Cancellation Before Work Begins

If you cancel before any work has started, the engagement will be terminated and the fees paid will be refunded as per Section 3 of the Refund Policy.

3. Cancellation by Baclinc

Baclinc may terminate an engagement, with written notice, if:

  • Invoices remain unpaid beyond 15 days of the due date.
  • The client breaches the SOW or master agreement and fails to cure the breach within 10 business days of notice.
  • The scope of work cannot be delivered due to circumstances outside our reasonable control, including changes in law, platform policy, or force majeure.
  • There is conduct by the client or its representatives that is abusive, unlawful, or otherwise inconsistent with a professional working relationship.

On such termination, fees for all work performed up to the termination date remain payable, and any unutilised advance held by Baclinc, net of pending dues, will be refunded.

4. Effect of Cancellation

  • All confidentiality, intellectual-property, and indemnity obligations in the SOW will survive termination.
  • Final deliverables will be released to the client only after settlement of all outstanding invoices.
  • Access to shared tools, accounts, and platforms will be transitioned or revoked within 7 business days of the effective date of cancellation.

5. How to Cancel

Send a written cancellation notice from the authorised contact on file to abhishek@baclinc.com, quoting the engagement name, SOW reference, and effective cancellation date. We will acknowledge within 3 business days and confirm the closure plan.

6. Governing Law

This policy is governed by the laws of India. Any disputes will be subject to the exclusive jurisdiction of the courts at Mumbai, Maharashtra.
